22 04Agenda Item 2 RESOLUTION 1: NON BINDING RESOLUTION TO ADOPT REMUNERATION REPORT In accordance with the Corporations Act 2001 the Company presents its Remuneration Report as contained in the Annual Report

23 04Agenda Item 3 RESOLUTION 2: RESOLUTION TO ELECT A DIRECTOR To elect a director. Mr Bryan Waters, Chairman and Non-executive Director, who retires by rotation in accordance with Rule 117 of the Constitution of the Company, and being eligible, offers himself for re-election in accordance with the Constitution of the Company and the ASX Listing Rules.

24 04Agenda Item 4 RESOLUTION 3: AMENDMENT TO THE COMPANY’S CONSTITUTION That the Company’s Constitution be amended by the deletion of Article 120 (Retiring directors to remain in office until successors appointed) and Article 185 (Interim Dividends)

25 04Agenda Item 5 RESOLUTION 4: CONSOLIDATION OF THE COMPANY’S SHARES That for the purposes of Section 254H of the Corporations Act, ASX Listing Rule 7.20, ASX Listing Rule 7.22 and for all other purposes, the issued capital of the Company be consolidated on the basis that every 10 ordinary shares be consolidated into 1 ordinary share and where this consolidation results in a fraction of a share being held by a shareholder, the Directors of the Company be authorised to round that fraction up to the nearest whole share, with the consolidation to take effect on a date to be announced to the ASX in accordance with the requirements of the ASX Listing Rules.

26 04Agenda Item 6 RESOLUTION 5: AMENDMENT TO TERMS OF MANAGING DIRECTOR’S OPTIONS FOLLOWING RIGHTS ISSUE That for the purposes of Chapter 2E of the Corporations Act, the ASX Listing Rules 6.23, and for all other purposes, the Board be authorised to amend the terms of the existing options over the Company’s shares held by the Managing Director, Tony Chamberlain in the manner described in the Explanatory Notes accompanying the Notice convening this meeting to reflect the pro rata increase in issued capital following the 1 for 2 Rights Issue implemented by the Company in February 2010.

27 04Agenda Item 7 RESOLUTION 6: AMENDMENT TO TERMS OF ISSUE APPLICABLE TO STG’S OPTIONS AND PERFORMANCE SHARE PLAN OPTIONS ISSUED TO CERTAIN SENIOR MANAGERS That for the purposes of ASX Listing Rule 6.23 and for all other purposes, the Board be authorised to amend the terms of the existing options over the Company’s shares issued to certain senior managers of the Company under the Staging Connections Group Options and Performance Shares Plan, in the manner described in the Explanatory Notes accompanying the Notice convening this meeting.

28 04Agenda Item 8 RESOLUTION 7: APPROVAL OF AN OFFER OF OPTIONS TO THE MANAGING DIRECTOR UNDER STG’S OPTIONS AND PERFORMANCE SHARES PLAN That for the purposes of ASX Listing Rule 10.14, and Chapter 2E of the Corporations Act and for all other purposes, the Board of Directors of the Company be authorised to offer Tony Chamberlain, the Managing Director of the Company, 1 Option over ordinary shares in the Company for every 2 existing Options held by him, up to a maximum of 5,000,000 Options, under the terms and conditions as detailed in the Explanatory Notes accompanying the Notice convening this meeting, pursuant to the Staging Connections Group Limited Options and Performance Shares Plan.
