2 Introduction Joint Venture between Williams Partners L.P. and Cabot Pipeline Holdings LLC. Williams Partners owns 75% of Constitution and Cabot owns the remaining 25%. Shippers on the Constitution Pipeline are Cabot and Southwestern Energy. Williams Partners will provide regulatory, permitting, land acquisition, engineering, construction, operation and maintenance services for the pipeline. Williams Partners operates the Transco Pipeline that serves markets along the Eastern Seaboard. Project provides opportunity to deliver new gas supply (650,000 dekatherms / day) to Northeast markets through new interconnects with existing Iroquois Gas Transmission and Tennessee Gas Pipeline systems. Target in-service date – March 2015 2 May 17, 2012 |

3 Project Overview & Facilities Approximately 121 miles of new 30-inch, 1480 psig rated pipeline ◦ Starts at Williams Field Services Company, LLC’s planned “Central Station” in Susquehanna County, PA ◦ Interconnections with Iroquois Gas Transmission and Tennessee Gas Pipeline; both located in Schoharie County, NY ◦ Appurtenant aboveground facilities including block valves, pigging facilities, communication facilities, etc. New 32,000 horsepower (ISO) gas turbine-driven compressor station located in Schoharie County, NY Two receipt metering stations in Susquehanna County, PA and two delivery metering stations in Schoharie County, NY 3 May 17, 2012 |

7 Agricultural Measures Will employ qualified agricultural and soil conservation Specialists/Inspectors; Will identify types of agricultural land and facilities; Depth of cover (agricultural standard of 48 inches); Minimize impacts to active agricultural land from above ground facilities; The construction work space across agricultural land will be 125 feet; 7 May 17, 2012 |

8 Agricultural Measures Subsurface intercept drains will be used to control soil saturation and/or aid trench breakers; Work with landowners to identify location of drain tiles, irrigation systems, potable wells, springs and other similar features early in the process; Identify active Sugar Bush production areas; The open trench will be fenced and temporary livestock and farm equipment crossings (or trench plugs) will be provided where requested and/or needed by the farm owner/operator. 8 May 17, 2012 |
