16 Transactions in BEE securities Trading in BEE securities is restricted to BEE compliant persons, whether the prospective beneficial owner is: - a JSE member trading for their own account; or - the controlled or non-controlled clients on whose behalf a JSE member trades. The issuer of the BEE security determines the manner in which the eligibility of the prospective BEE shareholders is to be verified. The eligibility criteria for BEE compliant persons and the means of confirming eligibility are specified in the MOI of the listed BEE company and/or in the terms and conditions of the BEE ownership scheme. Eligibility to invest in BEE securities must be established prior to a JSE member entering orders to purchase securities on behalf of their clients. Verification of eligibility may be conducted in 2 ways – the issuer may specify that the BEE contract be completed (the “Sasol” process) or that a BEE verification agent be appointed to perform the process of verification (the “new” process).

17 Verification of eligibility Completion of the BEE contract: -The BEE compliant person, together with the JSE member, any intermediaries and the appointed CSDP sign the JSE prescribed BEE contract. -In respect of beneficial owners that are juristic persons, a BEE certificate must be obtained from an accredited verification agency, which confirms that the entity is a BEE compliant person. -The JSE member is responsible for ensuring that the BEE contract is signed and if appropriate, that the BEE certificate is received. -Upon completion of the BEE contract and, if appropriate, receipt of the BEE certificate, the member may enter orders that will result in the acquisition of BEE securities on behalf of their BEE compliant client.

18 18 Verification of eligibility Confirmation of the BEE issuer verification agent: -The issuer themselves or their appointed agent conduct a verification process in respect of prospective BEE shareholders. - The verification process includes: - ensuring that the proposed beneficial owner of BEE securities has accepted the BEE terms and conditions of the BEE ownership scheme; and -providing confirmation to the JSE member that the prospective BEE shareholder is a BEE compliant person. - The JSE member, upon receipt of confirmation of eligibility, is able to enter orders that will result in the acquisition of BEE securities on behalf of their BEE compliant client.

19 Cancellation of BEE transactions In the event that a purchase transaction in BEE securities results in the transfer of BEE securities to a beneficial owner that is ineligible for ownership and such has taken place due to the broker concerned not having fulfilled their obligations in respect of the verification process, the Director: Surveillance may in his sole discretion, cancel the transaction. Following cancellation of the transaction, the JSE member that executed the transaction will be required to recover the BEE securities from the registered owner of the BEE securities and must then sell them to a BEE compliant person in the market. Should the JSE member be unable to sell the recovered BEE securities to a BEE compliant person in the market, the JSE member may offer them to the issuer of the BEE securities, their nominee or any other person that is named as being entitled to acquire the BEE securities in the terms and conditions of the BEE ownership scheme. If the JSE member, registered owner or beneficial owner fail to comply with an instruction in respect of the cancellation of a transaction in BEE securities, the JSE will take the steps necessary to ensure compliance with the rules.
