Motion 1 To replace the word “RAB” and “Regional Activities Board” with “MGAB” and “ Membership and Geographical Activities Board” in Region 10 Bylaws Background The Regional Activities Board was reorganised and renamed as Membership and Geographical Activities Board by the Board of Directors in 2008 6/1/20162

3. 3 Motion 2 To replace the word “Gold” with “Young Professionals” in Region 10 Bylaws Background The Gold Committee was renamed as Young Professionals by the Board of Directors in 2014 6/1/20163

Motion 3 To replace one sentence in Section 7.2.3.1 “All members of Member Grade or Higher in Region 10 shall be voting members of Region 10, each having one vote” with “All members of Member Grade or Higher and Graduate Student members in Region 10 shall be voting members of Region 10, each having one vote.” in Region 10 Bylaws 6/1/20164 Background The IEEE changed the voting rules

Motion 4 To change Section 7.1 Student Activities Committee from “The Regional Student Activities Committee shall comprise all Counselors in the Region, at least one Regional Student Appointee, and any Student Activities Committee Chair in Sections, and the Regional Student Activities Coordinator appointed by the Regional Director” to “The Regional Student Activities Committee shall comprise a SAC Coordinator, Regional Student Representative nominated by R10 Director and SAC Chairs in all Sections” 6/1/20165 Background When R10 Bylaws were created the SAC was a standing committee of the IEEE and no of branches was small. No more now. The change will reflect the existing situation in R10.

Motion 5 To remove from Section 7.1 Student Activities Committee the following sentence “The Regional Director shall appoint the Chair of this Committee from the membership of the Regional Student Activities Committee, for a two-year term of office that corresponds with that of the Regional Director” from Region 10 Bylaws 6/1/20166 Background The condition of “corresponding” is not relevant

7. 6/1/20167 Motion 6 To change Section SECTION 7.2: NOMINATIONS COMMITTEE 6/1/20167 Background 1. The Committee had two functions to fulfill: In 7.2.3.1: t o nominate a minimum of two (2) and a maximum of three (3) candidates for R10 Director-Elect among those proposed by Sections within R10 In 7.2.3.2: t o prepare a list of potential candidates to be considered by the IEEE Nominations and Appointments Committee for service on Institute Committees and Boards 2. Over the years the three persons Committee dealt only with the nomination of the candidates for Region 10 Director- Elect (7.2.3.1), and not with 7.2.3.2, due to large workload and time commitment on the IEEE Boards and Committees!

8. 6/1/20168 Background, cont. 6/1/20168 3. In 2006 the Region 10 Committee voted to create an Advisory Committee: a four member body consisting of Past R10 Directors. After the AC review in 2009 its Mission was defined as “To assist and to advise Region 10 Director and Regional Committee when and where needed, based on acquired regional and corporate expertise and experience”. Also, to fulfill the gap in the activities of R10 Nominations Committee, the Advisory Committee took up a task of nominating deserving volunteers from Region 10 to IEEE bodies, Boards and Committees. 4. The Nominations Committee and Advisory Committee operated separately or jointly as they have the same chair (an Immediate Past Director). Hence now it is time that the Nominations and the Advisory Committees are reorganized to become one body.

Membership: sum of two memberships: Director Elect, current Director, up to four past Directors. Mission and Tasks: as specified currently by two Committees.

10. 6/1/201610 Motion 6 6/1/201610 (a) “Section 7.2 Nominations Committee” is changed to “Section 7.2 Nominations and Advisory Committee”. Also the name of the Committee is changed accordingly through Section 7.2 where appropriate. (b) Section 7.2.1 Nominations Committee Structure is changed from “The Committee consists of Regional Director, Regional Director Elect and Immediate Past Director. The Immediate Past Director serves as the Chair” to “The Committee consists of Regional Director, Regional Director-Elect and Immediate Past Director plus up to four Past Directors. The Immediate Past Director serves as the Chair”
