19 Welcome to Constitution 10/28/2013TDWG Annual Meeting, Florence18 TDWG: Develops, adopts and promotes standards and guidelines for the recording and exchange of data about organisms Promotes their use through the most appropriate and effective means Acts as a forum for discussion through holding meetings and through publication Undertakes any other activities that are judged useful to the organisation.

Membership consists of two classes: individual members institutional members (other legal entities)

21 Welcome to Constitution 10/28/2013TDWG Annual Meeting, Florence20 TDWG shall meet each calendar year to discuss standards elect officers receive reports on TDWG activities, including a financial report; discuss governance and operation; fix the date and place of the next annual meeting conduct other relevant business.

23 Welcome to Constitution 10/28/2013TDWG Annual Meeting, Florence22 At each annual meeting the officers shall be elected from the membership. The Chair will normally hold office for a period not exceeding three years. All other officers will normally hold post for a period not exceeding six years.

24 Welcome to Constitution 10/28/2013TDWG Annual Meeting, Florence23 TDWG shall strive to make decisions based on broad consensus rather than simple majority. The Executive Committee may assess consensus through mechanisms other than voting, such as solicited reviews and public requests for comment, except where voting is mandated elsewhere in this Constitution. If a broad consensus cannot be reached, the Executive Committee may arrange for an issue to be decided by a vote of the membership. Each member is entitled to one vote. To pass, a proposal must receive a majority of votes from both individual and institutional members.

26 Welcome to Organization 10/28/2013TDWG Annual Meeting, Florence25 Chair Presides at meetings of TDWG and at meetings of Executive Committee; is entitled to sign jointly with one other officer on behalf of TDWG; enacts such functions as are assigned by the Executive Committee. Secretary Operates the secretariat; keeps, distributes, and publishes minutes of meetings; sends notices of the annual meeting to the membership and notices of meetings of the Executive Committee to its members; distributes proposals and organizes votes.

27 Welcome to Organization 10/28/2013TDWG Annual Meeting, Florence26 Treasurer Is entitled to sign jointly with one other officer on behalf of TDWG; Maintains the membership list, reports finances annually to the membership; Collects membership dues; arranges audits; administers the assets of TDWG in conformance with instructions from the Executive Committee Regional Secretaries Have the responsibility to Represent the interests of TDWG members on the Executive Committee; and To represent TDWG in appropriate meetings and other activities.

28 Welcome to Organization 10/28/2013TDWG Annual Meeting, Florence27 The Executive Committee: provides leadership to TDWG; promotes TDWG to the broader community; organizes the day to day affairs of TDWG; may appoint an individual or group of individuals to perform specific work or an ongoing function for TDWG; proposes the amount of dues (subject to ratification at the annual meeting); administers the assets; has power to apply for legal status for TDWG; has other powers as stated elsewhere in this Constitution and any by-laws; provides timely notification of progress towards goals and otherwise acts to fulfill the goals of TDWG. The Executive Committee shall meet and report to the membership at least once each calendar year.

29 Welcome to Organization 10/28/2013TDWG Annual Meeting, Florence28 Interest Groups Purpose and Responsibilities An Interest Group advances and promotes information sharing capabilities (interoperability) within an area of biodiversity science. An Interest Group has a responsibility to: Evaluate the needs of TDWG members against available methods and technologies; Develop consensus around new approaches to information sharing; Create Task Groups to create specific products within specific time frames; Maintain and update products that continue to be useful.

30 Welcome to Organization 10/28/2013TDWG Annual Meeting, Florence29 Establishing an Interest Group A TDWG member can petition for the establishment of an Interest Group by submitting an Interest Group charter to the Executive Committee. The charter specifies the mandate and operation of the Interest Group. Interest group charters undergo public review and comment. If the Executive Committee judges a proposal to be problematic, it may return the proposal to the submitter with justification but without public review. The Executive Committee should return a decision and explanation to the proposer within 30 days of acknowledged receipt. The approval of an Interest Group charter is announced to the TDWG members. This action formalises the establishment of the Interest group, and authorises the establishment of the group's collaboration facilities.

31 Welcome to Organization 10/28/2013TDWG Annual Meeting, Florence30 A TDWG member can become an interest group member by joining the group's communication system and meeting any other requirements prescribed in the group's charter. Composition The only formal position required in an Interest Group is the Convener, who is responsible for managing the group's operations. The Convener may appoint group members to other roles as required.

33 Welcome to Organization 10/28/2013TDWG Annual Meeting, Florence32 Task Groups Purpose and Responsibilities A Task Group is created within an Interest Group to develop a particular product within a given time frame. Creating a Task Group The charter for any new Task Group must be submitted to the Executive Committee by the Convener of the parent Interest Group.
