3 BIt Club is a site reserved to those who, being in possession of the requirements provided by the applicable provisions of law, wish to complete the application for becoming members and using the services offered by Borsa Italiana, CC&G and Monte Titoli (the Supplers), or those who – being already members –need to change their membership profile for participating in the same services, or extend the range of services used. BIt Club is a web based communication tool developed for the communication and management via Internet of the necessary information for the participation of intermediaries clients in the above- mentioned Services. BIt Club represents, moreover, a library of the communications sent from the Suppliers. The services for which the participation may be requested through the completion on line of the appropriate documentation are the following: Trading Service supplied by Borsa Italiana S.p.A.; Clearing and guarantee service supplied by Cassa di Compensazione e Garanzia S.p.A. (CC&G); Daily matching and routing Service (X-TRM) supplied by Monte Titoli S.p.A. The use of the tool, as fas as the Areas Prospect, Guest and Member, described below are concerned, implies the acceptance of contractual provisions set out in the following documents: “General Conditions - Part I”, “General Conditions – Part II”, and relevant annexes. 4 Structure of the site - Connection to the site It is possible to access the site by contacting the address www.bit-club.it or through the available links on the web sites of the Suppliers.www.bit-club.it The site is divided into four separate areas: Area Public Area Prospect Area Guest Area Member The completion of the membership application procedure for accessing the services offered by one or all the Suppliers provides for the passage through all the areas listed above. In particular: Area Public where it is necessary to complete the Welcome Card for a preliminary specification of the data of the new Client Area Prospect where, through the completion of the Forms for the Request for Services, the contractual relationship is formalized Area Guest where the necessary operational data are specified for being enabled to utilize the services Area Member where the information relating to aspects of participation in the services utilized is viewed. From this area of the site it is possible to amend such data and request, in a simplified mode, the participation in new services.

The roadmaps show that the access through the Area Prospect and Guest is needed in case the prospect client is requesting a Service provided by a Company for which it is not yet a member; where a member needs to apply for a new service on the contrary it will go directly to the Area Member. 7 The access to the Area Public is open to all those who need to acquire information of a general nature on the services provided by the Suppliers, obtain documentation on their activities and the services offered by them. This area is shared by all the Suppliers and no identification credentials (user-ID and password) are necessary for accessing. The Area Public has the following features: It is the first necessary step for acquiring the customer status (member) to access the services offered by all or some of the Suppliers. The Membership Departments will accompany the new member throughout the membership procedure. It is the access point for completing the Welcome Card, which enables to obtain the access keys to the Area Prospect, reserved to prospective members. The credentials for accessing the Area Prospect are sent to the e-mail address specified in the Welcome Card. The completion of the Welcome Card does not bind to purchase the services. Below there are a few examples that are useful for understanding the membership procedure. The areas of the site – Area Public
8 The access to the Area Public is the first step of the procedure for registering and accessing the services, and consists of the completion of the Welcome Card. From such area the access to the Library of the Suppliers is permitted, where it is possible to avail onself of the information and contractual documentation. The areas of the site – Area Public
9 The Welcome Card - Area Public In practice, the completion of the Welcome Card provides for the input, by the client, of the following data: Registered Name Address Town Zip Code Province Country ABI Code (if available) Type of Company Name Surname Phone Fax E-mail The data specified in the Welcome Card is shared by all the Suppliers. The completion of the fields with an asteririsk (*) is mandatory. The selection of the key “ENTER” enables the Membership Departments to view the data specified. After the client has sent the data, the system will send to such new client the user name and the necessary password for accessing the Area Prospect as described below. Here is an example of Welcome Card:
10 The Area Prospect may be accessed specifying the user-ID and password received by e-mail at the address indicated in the Welcome Card. In the Area Prospect it will be possible to select the services of interest through the completion of the Form of Request for Services, available through the option of the field “SELECT THE SERVICES”. Through this form it is possible to select, in one single solution, the services offered by several Suppliers, or by an individual one. The Form for the Request of services must be completed on-line in all its parts. It shall then be printed and sent in original by ordinary mail service to the Membership Department of the company supplier of the service. If the services offered by several Suppliers are selected, then it is necessary to print and send to each one of them a copy of the form pertaining to the same. After viewing the Request for Services, checking the authorisation requirements, the Membership Department of the company addressee of the request shall send by registered mail the user-ID and password to the Contract Representative, whose data are specified in the form, for entering the subsequent Area Guest. The signature of the Form for the Request of Services implies the acceptance of the applicable contractual provisions. The areas of the site – Area Prospect
11 The Prospect Client shall specify the data requested, in the four sections of the MRS, in the proposed sequence: Select the Services Data of Registered Office Data of Contract Representative Data of Legal Representative Only after all the sections have been completed, and only after all information has been included, it will be possible to print the form or the forms for forwarding the same to the company supplier of the requested service. At the end of each section it is necessary to memorize the data specified by selecting the key “SAVE”. The data will be available to the Prospect User in reading mode only. The key “CONFIRM” appearing at the end of the fourt section, activates the printing of the form. The amendment to the memorized information is possible by selecting the key “DELETE DATA”. It is not possible to delete the data of one individual section. Therefore, all the sections in the sequence provided above, shall be fillled in again. The areas of the site – Area Prospect
12 Borsa Italiana In the section of Borsa Italiana it is possible to request the following trading services in the following market/s: Telematic equity market (MTA) MIV Market Telematic market of securitised derivatives (SeDeX) Electronic open-end funds and ETCs market (ETFplus) DomesticMOT Segment EuroMOT Segment Market "after hours" (TAH) IDEM EQUITY Segment IDEX Segment Alternative Capital Market (MAC) AIM Italia ExtraMOT The system takes into account the fact that some services are preliminary to others. if such correspondences are not met, they are viewed in the following page inside the Consistency Matrix. The selection of the key “SAVE” memorizes the data in the system. A message on the screen indicates the correct sending of information. Form of Request for Services of
13 In the CC&G section it is possible to request the following servicesi: Clearing and Guarantee Service in the Share Section in the capacity as General or individual or Indirect Clearing Members; Clearing and Guarantee Service in the Derivatives Section in the capacity as General or individual or Indirect Clearing Members; Clearing and Guarantee Service in the Bond Section in the capacity as General or individual or Indirect Clearing Members; Through the technological structure: IT ICWS; BCS. If the Clearing and Guarantee Services in the Share and/or Bond Sections are selected in the capacity as General or individual or Indirect Clearing Members, then the system selects automatically the mandatory “IT ICWS” service for Direct Clearing Members to the Share and Bond Section. 14 In the section of Monte Titoli it is possible to request the following services: Daily matching and routing Service (X-TRM) X – TRM X – TRM through the granting of power of attorney Other services will be made available later, such as the Centralized Management Service for Intermediaries (Custody) The selection of the key “SAVE” memorizes the data in the system. 15 After selecting the services of interest, the system requires a specification of the data to be inserted in the subsequent section of the Form of Request for Services, i.e. Data of Registered Office. The data relating to the Registered Office is evaluated by the system automatically, on the basis of the information already detailed in the Welcome Card. It is requested to insert the missing data. Mandatory fields are the “fiscal code” and “VAT Number”. The possibility is also provided to amend the the information pre-viewed by the system. At the closing of the section, after selecting the key “SAVE” for memorizing the data in the system, a message on the screen confirms the correct memorization of the information. Select the key “CONFIRM” and then the key “CLOSE” for continuing. Form of request for services Data of Registered Office
16 After selecting the services, valorizing the data requested by the section relating to the Registered Office, it is necessary to specify the data of the Legal Representative. The Legal Representative must execute the Form of Request for Services. The Form of Request for Services shall be accompanied by a copy of the power of attorney containing the powers granted to the Legal Representative. The signature affixed to the Form of Request for Services shall represent the specimen of the signature of the Legal Representative. It is possible to specify different Legal Representatives for each Supplier by selcting the relevant check box. It is possible to indicate several Legal Representatives per Client, through the option “ADD”. Next to each name so designated it is necessary to indicate the company for which such individual performs the function, by selecting a Supplier. 17 After detailing of the data relating to the Legal Representative, it is necessary to provide details of the data relating to the Contract Representative. The Contract Representative: may coincide with the person qualified as Legal Representative; exercises any active and passive powers vis-à-vis the company supplier of the services, in relation to the establishment and management of the contractual relationship. The Form of Request for the Services shall be accompanied by the specimen of signature of the Contract Representative, who is the addressee of the access credentials (user-ID and password) to the Areas Guest and Member. 18 The selection of the key: “DELETE DATA” enables to delete all the data inserted; “CONFIRM REQUEST”, enables to view the page relating to the Rules applicable to the legal relationship established with the company supplier of the service following the written acceptance by the latter of the request made by the user. After expressing the option for the processing of data, pursuant to Article 13 of legislative decree no. 196 of 30 June 2003, the selection of the key “CONFIRM” activates a window through which the Client may express his/her consent to the request. 19 Form of Request for Services Printing the form The amendment of the data relating to a form already forwarded to the Membership Department of the company supplier of the service is possible only through the formalization of the request for cancellation that must be sent to the same office. In this case the member requesting the service shall start the membership procedure from the beginning, by completing a new Welcome Card. After completing the operations described till here, it is necessary to print the Form or Forms of Request for Services, revert to the home page and then log out. Upon receipt of the Form of Request for Services duly signed, the Membership Department of the supplier company – after making the necessary controls – shall send to the member requesting the service the written acceptance of the request by inviting the member to complete del Participation Documentation, addressing the access credentials (user-ID and password) to the Area Guest to the attention of the Contract Representative.
20 The areas of the site – Area Guest The Area Guest may be accessed by specifying the access codes (user-ID and password) assigned by the company supplier of the service upon receipt and acceptance of the Form of Request for Services, completed in all its parts and duly signed. The access credentials are sent by ordinary mail to the Contract Representative, whose data is detailed in the Form of Request for Services. The user-ID and password utilized for the access to the Area Prospect lose their validity after the client has executed the Form of Request for Services. An e-mail message shall advise the Prospect User of the deactivation of the codes. The access to the Area Guest has ben envisaged in order to enable the specification on-line of the information having an operational character (completion of the Participation Documentation) necessary for using the requested service; such data depend on the Company and the type of service requested. The fields provided must be completed in the proposed succession order. For the purpose of completing the membership procedure it is necessary that the maps proposed by the system are viewed, also where they are reserved to the specification of data that does not regard the desired participation profile. Should this be the case, after viewing the map, it is necessary to use simply the option “SAVE”. A detail of the workflows existing in the Area Guest is available inside the area.
21 The access to the Area Guest is possible through a specification of the access credentials (user-ID e password) addressed to the Contract Representative. Area Guest The Contract Representative may: Change its password selecting the key “Change Password” Profile Users’ Company Complete the Participation Documentation by selecting the key “COMPLETE PARTICIPATION DOCUMENTATION” in the “Membership Area” In this area the tabs will be viewed relating to the company for which the subject is in Area Guest
22 To change the password it is sufficient to simply insert a new password and confirm it. Password- Area Guest
23 Management of Company’s Users One of the options given to the User Guest, ensured also in Area Member, is that of authorizing people inside one’s own structure for the purpose of interacting with the system. Such operation enables to create many profiles, granting to one or more figures the possibility to use the system almost independently and take care of the relations with the offices of the Group. However, the Contract Representantive (user Administrator) always has the maximum visibility of what is happening thanks to a system of automatic notifications; the User Administrator may also extrend or revoke the delegation level at any time and without having to interface directly with the Membership offices of the Group’s companies. The service may be activated through the function “Company’s Users Management” available in the Areas Guest and Member of each company. In order to profile “Company’s Users” after clicking on the key “Company’s Users Management”, select the item “Create new user”; select all the functions, differentiated for each company to which the user must be granted access. The user will receive an e-mail containing the necessary username and password for accessing private areas.
24 The areas of the site – Area Member The Area Member may be accessed by specifying the access codes (user-ID and password) assigned by the companny supplier of the service upon receipt and acceptance of the Form of Request for Services, completed in all its parts and duly signed. The access credentials shall coincide with those sent by ordinary mail to the Contractual Representative. The access to such area enables the management on-line of the necessary data having an operational character for using the service requested. By accessing this Area it is possible: ‐ To view one’s own Data ‐ To send Requests for amending such data ‐ To make a request for other services provided by the Supplier Other more specialized specific functions are also available for each of the three Suppliers. A detail of the workflows and information present in Area Member is available in the same Area.
25 Role of the Membership Department The Membership Department of the company addressee of the request for participation in the services (Borsa Italiana, CC&G, Monte Titoli) is able to accompany the BIt Club used throughout the membership procedure. The BIt Club site, in fact, is provided with a back end section, which permits the Membership Department to view the progress of the request and provide all the support that should appear necessary. The interaction between the BIt Club user and the Membership Department enables, through sequential stages, to complete the membership procedure to the services. BIt Club, moreover, permits the sharing of certain data between the Suppliers, with evident double benefits for the user: 1. the data necessary to the different companies suppliers of the services are inserted into the system only once, since the Suppliers share the information through the site 2. through the use of the tool it is possible to interact simultaneously with several Suppliers of the services necessary to the user. The system makes consistency checks of the services requested, where a strong interrelation and dependence exist among the available services. The admission to trading on certain markets cannot exclude the participation in the clearing and post-trading services.
26 Definitions Definitions of capitalized terms identified for the purpose of this document. Capitalized terms not included in the list set out below are considered used with the same meaning as the definitions contained in the General Conditions and relevant annexes, including the Regulations of the Companies suppliers of the Services. Access Credentials or Access Codes or Codes: username and password for accessing the Area Prospect, Area Guest or Area Member of BIt Club; Contract Representative: represents the subject having an adequate level of responsibility, designated by The Client through its Legal Representative, authorized to receive from and give/make to the company supplier of the service and in the name and on behalf of the client, any representations and instruction provided by the General Conditions, as well as in the annexes and participation documentation. The Contractual Representative may perform such function within one, two or all the three companies of Borsa Italiana Group. Supplier of the Service or Company: Borsa Italiana S.p.A., Cassa di Compensazione e Garanzia S.p.A., Monte Titoli S.p.A.; Company User :may be one or more subjects designated by the contractual representative for inserting all or some of the data to BIt Club: the profiling and management of the same occurs at the care of the client and, therefore, the knowledge of the same by the companies suppliers of the service is ignored.
