Gartner is a registered trademark of Gartner, Inc. or its affiliates. 1 Service Description ■Gartner for IT Executives CIO Signature Additional Delegate Add-on permits Members of the Gartner for IT Executives CIO Signature Program to designate an additional Licensed User (the “Delegate”) for the purpose of assisting the Member and furthering the Member’s agenda and priorities. ■The service is focussed on supporting cloud and digital strategies and is provided to one licensed user for a period of twelve months. ■The Cloud offerings from Gartner are built on the expertise of our 890 research analysts and 500 consultants; the world’s largest repository of knowledge on the business of IT. 117 analysts have expertise in the field of cloud with our database of IT research containing 1,400 research reports providing specific guidance on best practice for cloud deployment and strategy. Gartner covers all aspects of cloud including crucial topics such as Infrastructure as a Service (IaaS), Platform as a Service (PaaS), Software as a Service (SaaS), cloud sourcing, cloud security, cloud strategy, cloud governance and IT cost optimisation through cloud. Price ■Gartner will bill a firm fixed price of £23,200 excl. VAT, incl. all expenses for this service. Gartner is a registered trademark of Gartner, Inc. or its affiliates. 2 Full List of Deliverables Gartner for IT Executives CIO Signature Additional Delegate Add-on (the “Service”) permits Licensed Users of the Gartner for IT Executives CIO Signature Program (“Members”) to designate a second Licensed User (“Delegate”) for the purpose of assisting the Member and furthering the Member’s agenda and priorities. The Delegate is entitled to the following Member Deliverables under the Gartner for IT Executives CIO Signature program: ■Executive Programs Research Reports ─ Up to 12 (twelve) per year covering topics selected by Gartner such as IT Governance, Business Value of IT, Architecture and other areas where business and IT intersect. ■Gartner for Leadership Development – Content developed for the aspiring CIO and pertinent to the professional development of the Delegate, accessed via the Gartner for Leadership Development Web site. ■Gartner for IT Executives ─ Access to all Gartner for IT Executives role Web portals, which highlight role-specific content, such as Executive Programs research, podcasts, videocasts, polling, top research picks, and market news. ■Teleconferences ─ Up to 12 (twelve) per year, hosted by Executive Programs Research Report Authors, who will discuss the topics of their Reports. ■Access to Gartner Core IT Research. ■Access to Gartner for IT Leaders content and role pages. ■Talking Technology Series ─ Concise and expert commentaries on the latest IT topics in a monthly audio program that can be listened to on gartner.com or downloaded in MP3 format. ■Use of Research — The Member and the Delegate may each, on an occasional and infrequent basis, forward to specific individuals within the Client organization copies of individual research documents: (i) not to exceed 25 (twenty-five) separate documents per contract year for the Member, and (ii) not to exceed 25 (twenty-five) separate documents per contract year for the Delegate, for the purpose of facilitating executive decision-making. This forwarding of documents may not be done on a routine basis, or by means of posting on Client’s corporate intranet, or in any other manner that has the intent or effect of avoiding the purchase of additional User licenses from Gartner. Gartner is a registered trademark of Gartner, Inc. or its affiliates. 3 ■Assigned Service Delivery Team — A service delivery team (“Delivery Team”), consisting of an Executive Partner and an Executive Client Manager, will be assigned to each Member and their respective Delegate, and will serve as their primary point of contact for all Gartner resources available under this Service. The Delivery Team will work with the Member to develop a plan (the “Member Value Plan”), which will highlight value sought; identify key issues on which delivery of the Member’s Service may focus; and outline how the Service can deliver that value to the Member or the Delegate on behalf of the Member. Progress against the Member Value Plan will be reviewed during the contract year as follows: ■Strategy Meetings ─ Up to four (4) times per year, the Executive Partner will meet face to face with either the Member, the Member and the Delegate, or the Delegate on the Member’s behalf (“Strategy Meeting”). These Strategy Meetings may be used to: (i) review and apply Executive Programs Research, the annual Executive Programs CIO Agenda, or other relevant content; (ii) draw on the Executive Partner’s professional experience to advise the Member in the context of the Member’s issues; and (iii) develop, discuss the progress of, or evaluate the Member’s Member Value Plan. ■Optional Substitutions for Strategy Meetings ─ Each of the following sessions are available to the Member for their use during the contract period. The Delivery Team will work with the Member to determine which, if any would be of value for inclusion in the Member Value Plan. Each session used by the Member will count as one (1) of the four (4) Strategy Meetings to which they are entitled annually. Participation in these sessions is limited to the Member and members of the Member’s team (as reasonably required for the Member’s business purposes). In all instances, the Member must be present and the purpose of the session must be to advance the Member’s agenda. Each of the following sessions may be used once per contract year: –Onsite Analyst Briefing ─ Member meets on Client premises with a Gartner Analyst for a half-day for knowledge-based, individual or project advisory assistance, typically involving delivery of Gartner Content. –Executive Programs Workshop ─ Member meets on Client premises with Gartner Executive Programs Expert for a half- day workshop focusing on the application of Gartner Executive Programs Research and action planning. Topics for the workshop will be selected by the Member and the Delivery Team from a list of available Executive Programs workshops and participation will be limited to 25 (twenty-five) Members and/or team members. Gartner is a registered trademark of Gartner, Inc. or its affiliates. 4 ■Contextualized Targeted Gartner Research ─ On an as-needed basis, the Executive Client Manager will to the Member or to the Delegate, on the Member’s behalf, selected Research which has been synthesized and customized for the Member, based on the Member Value Plan. ■Professional Development for the Delegate — At the Members option, the Executive Partner will work with the Delegate to develop an individual development plan (the “Individual Development Plan”), which will highlight objectives sought; identify key areas of focus on which delivery of the Delegate’s coaching may centre; and outline how the Service can effectively attain those goals. Progress against the Individual Development Plan will be reviewed during the contract year as follows: ■Coaching Teleconferences ─ Up to four (4) times per year, the Executive Partner will conduct teleconferences with the Delegate, (“Coaching Teleconferences”), which may be used to: (i) review and apply Gartner for Leadership Development Research, Executive Programs research, or other relevant content; (ii) draw on the Executive ■Partner’s professional experience to advise the Delegate in the context of the Delegate’s professional goals; and (iii) develop, discuss the progress of, or evaluate the Delegate’s Individual Development Plan. ■Gartner for IT Executives Analyst Inquiry ─ Provides the Member and the Delegate with access to Gartner Analysts who are associated with the Service purchased by Client. Participation in Analyst Inquiry is limited to the Gartner Analyst, the Member and/or the Delegate, and members of the Member’s team (as reasonably required for the Member’s business purposes). In all instances, the Member and/or the Delegate must be present on the Inquiry call and the purpose of the Inquiry call must be to advance the Member’s agenda. –Executive Programs CIO Research Inquiries ─ Provides the Member and the Delegate with access to Gartner Executive Programs CIO Researchers through IT –Executives Analyst Inquiry; limited to topics covered in the Executive Programs Research Reports, as published by Gartner Executive Programs. ■Events Symposium/ITxpo® ─ One (1) non-transferable invitation to attend a Gartner Symposium/ITxpo Event; includes Gartner Executive Programs VIP Access. Gartner is a registered trademark of Gartner, Inc. or its affiliates. 6 Backup Restore and Disaster Recovery ■The Gartner service under discussion does not require Gartner to manage or store any critical client data Information Assurance ■Gartner possesses analysts and consultants with various security clearances, or we will, within reason, acquire those clearances as the client demands ■Gartner associates are bound by very specific rules around client confidentiality and security given that our clients reveal to us their greatest challenges and difficulties in order that we can help and support them most effectively Data Restoration ■No client data is retained by Gartner as part of the client’s access to this service and therefore there is no data restoration process related to this service Service Migration ■There is no need for a Service Migration plan given the nature of the service under discussion Gartner Service Definition — Gartner for IT Executives — CIO Signature Additional Delegate Add-On (ITESIGDELA)

Gartner is a registered trademark of Gartner, Inc. or its affiliates. 8 Ordering and Invoicing Process ■Gartner will bill for 100% of the fees at contract signing ■All invoices are payable net 30 days from date of invoice ■This service is subject to, and governed by, the Gartner Events: Online Registration Terms & Conditions section and the Usage Guidelines for Gartner Services of the Gartner Terms & Conditions document accompanying this service. Pricing ■Gartner will bill a firm fixed price of £23,200 excl. VAT, incl. all expenses for this service Financial Recompense Model ■In the event that a Service does not meet the specifications set out in the applicable Service Description, the breach will be handled in accordance with the Liability and Termination terms set out in the Call-Off Agreement Termination Terms (by Consumer/by the Supplier) ■Services may be terminated only for material breach by either party, upon 30 days prior written notice, if the breach is not cured within the notice period Gartner Service Definition — Gartner for IT Executives — CIO Signature Additional Delegate Add-On (ITESIGDELA)

The Delivery Team will work with the Member to develop a plan (the “Member Value Plan”), which will highlight value sought; identify key issues on which delivery of the Member’s Service may focus; and outline how the Service can effectively deliver that value. Progress against the Member Value Plan will be reviewed during the contract year ■At the Members option, the Executive Partner will work with the Delegate to develop an individual development plan (the “Individual Development Plan”), which will highlight objectives sought; identify key areas of focus on which delivery of the Delegate’s coaching may centre; and outline how the Service can effectively attain those goals. Progress against the Individual Development Plan will be reviewed during the contract year ■Coaching Teleconferences ─ Up to four (4) times per year, the Executive Partner will conduct teleconferences with the Delegate Service Constraints ■This is not applicable to this service.
