2Operating Agreement Weeks 1 - 2 MEMORANDUM OF OPERATING AGREEMENT It is hereby agreed that Tai “Upgrade” Rotan, Gonakelye ‘Dominic’ Yeah and Bobby Bronson aka I-20 will work as partners in the releasing of I-20’s “BLOOD IN THE WATER” album (and mix tapes). Tai Rotan will assist with the following services including but not limited to: Project Management/Budgeting/Project timeline Artist Branding Art Direction - Album and Mix tape Artwork / Ads & Promo Website Design/Development Publishing & Digital Distribution Identifying & securing local talent – i.e. male singer/female rapper, etc. Marketing/PR strategy – One-sheet - Product life-cycle, etc. Legal/Signed paperwork from album contributors Division of Album points to Contributors Album Release Event Planning/ Securing Venues/ Etc. Music Production Audio Engineering Attend Scheduled Meetings Gonakelye ‘Dominic’ Yeah will assist with the following services including but not limited to: Scheduling Live Shows/Radio Interviews/In-Store Appearances Online/Social Media Marketing Identifying & securing local talent – i.e. male singer/female rapper, etc. Legal/Signed paperwork from album contributors Division of Album points to Contributors Album Release Event Planning/ Securing Venues/ Etc. Attend Scheduled Meetings Bobby Bronson aka I-20 will assist with the following services including but not limited to: Attend Scheduled Meetings/Appointments/Photo shoots/Live Shows, etc.COMPENSATION In exchange for providing such services, Tai Rotan will be granted Album credit as Co-Executive Producer & Co-Publisher and receive: 20% publishing 20% album sales and $1,000,000 bonus if album goes platinum. _____________________ _____________________ _____________________ Signature Date Signature Date Signature Date

7Album Mixing & Mastering Weeks 5 - 7 I’d like to mix, master and engineer a few tracks from the album and get engineer credit OR sit in with the engineer for Engineer Assistant credits on the album. The Album should be getting mixed and mastered now in order to meet our deadline with the digital distributors , and ultimately meet our expected album release date.

14Obtaining Legal/Signed paperwork from all album contributors Weeks 6 - 10 In order to help protect ourselves against any future legal action it is imperative that we obtain “release forms” or some sort of written + signed documents that authorize us to use contributors works/media, i.e instrumentals, lyrics, verses, hooks, etc. These documents should include:Contributor’s full legal name, address, phone #, and addressDetailed description of contributed Work - Type of Work (instrumental, lyrics, etc), Copyright status, etc.Reference to compensation (if applicable) - percentage of album sales - percentage of publishing - up-front payment (work for hire)Reference to Split Sheets (if applicable)
