20 Tarptautinių mokslo ir technologijų plėtros programų agentūra BUDGETARY IMPLICATION The budgetary assessment indicates maximum Community expenditure of 420 m over the initial period of the ARTEMIS Joint Undertaking (up to 2017), which would need to be committed before 31 December 2013 when the FP7 budget comes to an end. An initial 42.5 m is to be committed in The total budget of the IMI JU will be EUR 2 billion. The maximum contribution from the European Community will be EUR 1 billion paid from the budget appropriation allocated to the Theme 'Health' of the Specific Programme 'Cooperation' implementing FP7. The preliminary budgetary assessment indicates Community expenditure of 47 million in year 1, a raising annual spending profile peaking at 140 million in years 5 and a winding up budget of 267 million in year 6 and 7. Maximum Community contribution – 800 m The budgetary assessment indicates maximum Community expenditure of 450m over the initial period of the ENIAC Joint Undertaking (up to 2017), which would need to be committed before 31 December 2013 when the FP7 budget comes to an end. An initial 42.5 m is to be committed in The running costs of the IMI JU will be financed in equal parts by EFPIA and the European Community. 21 Tarptautinių mokslo ir technologijų plėtros programų agentūra Legal Documents THE COUNCIL OF THE EU Having regard to the Treaty establishing the European Community, and in particular Article 171 and 172 thereof Establishment of a Joint Undertaking For the implementation of the Joint Technology Initiative (JTI) on Embedded Computing Systems, Innovative Medicines,"Clean Sky",Nanoelectronics, a Joint Undertaking within the meaning of Article 171 of the Treaty (hereinafter referred to as the "ARTEMIS Joint Undertaking") (hereinafter referred to as "IMI Joint Undertaking"). (hereinafter referred to as "Clean Sky Joint Undertaking"). (hereinafter the "ENIAC Joint Undertaking") is hereby set up for a period ending on 31 December This period may be extended by a revision of this Regulation. Legal personalityJoint Undertaking shall have legal personality. Member StatesIn the Member States, it shall enjoy the most extensive legal capacity accorded to legal persons under the laws of those States. Movable and immovable property It may, in particular, acquire or dispose of movable and immovable property and be a party to legal proceedings. International organisation It shall be considered as an international organisation within the meaning of Article 22(c) of Directive 2004/17/EC and of Article 15 (c) of Directive 2004/18/EC Council meeting, Brussels, 28 September 2007 LocationThe seat of the Joint Undertaking shall be located in Brussels, Belgium.

The IMI JU shall contribute to the implementation of the 7FP of the EC for research, technological development and demonstration activities ( ) and the Theme Health" of the Specific Programme "Cooperation implementing the 7FP. 1.The objectives of the Clean Sky JU shall be the following: accelerating in the EU the development of clean Air Transport technologies for earliest possible deployment; creating a radically innovative Air Transport System based on the integration of advanced technologies and full scale demonstrators, with the target of reducing the environmental impact of air transport through reduction of noise and gaseous emissions, and improvement of the fuel economy of aircraft.. The ENIAC JU shall contribute to the implementation of the 7FP of the EC for research, technological development and demonstration activities ( ) and the Theme "Information and Communication Technologies" of the Specific Programme "Cooperation implementing the 7FP. Objectives

24 Tarptautinių mokslo ir technologijų plėtros programų agentūra Members (2) Provided that they subscribe to the objectives the following entities may become members : Provided that they subscribe to the objectives the following entities may become members : Any public or private entity established in a MS or in a AC to the 7FP may apply to become a member: Provided that they subscribe to the objectives the following entities may become members : other MS and AC to 7FP; other MS and AC to 7FP; as ITD Leaders, they commit themselves to contribute resources proportional to and consistent with the overall JTI activities; other MS and AC to 7FP; any non-EU, non- Candidate and non- Associated country (hereinafter referred to as "Third Country") pursuing R&D policies or programmes in the area of Embedded Computing Systems; as Associates, their commitment is proportional to the budget of the ITD they participate in and consistent with the ITD requirements. any non-EU, non- Candidate and non- Associated country (hereinafter referred to as "Third Country") pursuing R&D policies or programmes in the area of Nanoelectronics; any legal entity capable of making a substantial financial contribution to the achievement of the objectives of the ARTEMIS Joint Undertaking. any legal entity supporting directly or indirectly research and development in the MS and AC to the 7FP. any legal entity capable of making a substantial financial contribution to the achievement of the objectives of the ENIAC Joint Undertaking.

Member States and Associated Countries which are members of the ARTEMIS Joint Undertaking shall be hereinafter referred to as "ARTEMIS Member States" Member States and Associated Countries that are members of the ENIAC Joint Undertaking shall be hereinafter referred to as "ENIAC Member States"

26 Tarptautinių mokslo ir technologijų plėtros programų agentūra Sources of financing (1) The activities of the ARTEMIS JU shall be jointly funded through Financial Contributions paid in partial instalments and in-kind Contributions from its Members to support the running costs and the R&D Activities. The IMI JU and its activities shall be jointly Funded through contributions from its Members. The resources of the Clean Sky Joint Undertaking shall be made up of contributions brought in by its Members and their participating affiliates. A participating affiliate shall be defined as a legal entity that: The activities of the ENIAC JU shall be jointly funded through financial contributions paid in instalments and in-kind contributions from its Members to support the running costs and the R&D activities. - is directly or indirectly owned or controlled by, or owning and controlling, or under the same ownership or control as the relevant ITD leader or Associate; - is incorporated and resident in, and subject to the law of, a Member State of the Community, or an Associated State to the 7 th Framework Programme of the Commission; - participates to a substantial extent in the activities of the relevant ITD Leader or Associate in the Clean Sky work programme.

The running costs of the ARTEMIS JU for the period ending on 31 December 2017 shall be supported by the following contributions: 2. The running costs of the IMI JU shall be financed by its Members. The community and EFPIA shall contribute in equal part to such running costs. 2. The running cost of the Clean Sky JU shall be shared equally in cash between on the one hand the European Community, which will contribute with 50% of total cost, and on the other hand the rest of the Members, that will contribute to the remaining 50%. 2. The running costs of the ENIAC JU for the period ending on 31 December 2017 shall be supported by the following contributions: (a) a financial contribution from ARTEMISIA of up to EUR 20 million or up to 1% of the overall costs of Projects3, whichever figure is higher, but not exceeding EUR 30 million; (a) a financial contribution from AENEAS of up to EUR 20 million or up to 1% of the overall costs of Projects, whichever figure is higher, but not exceeding EUR 30 million; (b) a financial contribution from the Community of up to EUR 10 million; (c) in-kind contributions from ARTEMIS MS. (c) in-kind contributions from ENIAC MS.

The R&D Activities of the ARTEMIS JU for the period ending on 31 December 2017 shall be supported by the following contributions: 3. The operational costs, hereinafter referred to as the Research Activities, shall be jointly funded through financial contribution of the Community and voluntary contributions by the research based pharmaceutical companies that are full members of EFPIA with resources at least equal to the Community contribution. 3. The R&D activities of the ENIAC JU for the period ending on 31 December 2017 shall be supported by the following contributions: (a) a financial contribution from the Community of up to EUR 410 million to finance Projects; (a) a financial contribution from the Community of up to EUR 440 million to finance Projects; (b) financial contributions from ARTEMIS Member States made in the form of annual commitments to be disbursed directly to research and development organisations participating in the R&D Projects; (b) financial contributions from ENIAC Member States made in the form of annual commitments to be disbursed directly to R&D organisations participating in the R&D projects; (c) in-kind contributions by R&D organisations to bear their share of the necessary cost of carrying out the Projects. The maximum Community contribution to the ARTEMIS JU shall be EUR 420 million paid from the budget appropriations allocated to the Theme "Information and Communication Technologies" of the Specific Programme "Cooperation" implementing the Seventh Framework Programme for research, technological development and demonstration ( ), according to the provisions of Article 54(2)(b) of the Council Regulation (EC, Euratom) No 1605/2002 on the Financial Regulation applicable to the general budget of the European Communities. 4. The maximum community contribution to the IMI JU covering running costs and Research Activities shall be EUR 1 billion Paid from the budget Appropriation allocated to the Theme 'Health' of the Specific Programme 'Cooperation implementing the Seventh Framework Programme for research, technical development and demonstration ( ) according to the provisions of Article 54(2)(b) of the Council Regulation (EC, Euratom) No 1605/2002 on the Financial Regulation applicable to the general budget of the European Communities. 3. The maximum Community contribution to the Clean Sky JU covering running costs and Research Activities shall be EUR 800 million paid from the budget appropriation allocated to the Theme 'Transport' of the Specific Programme 'Cooperation implementing the Seventh Framework Programme for research, technical development and demonstration ( ) according to the provisions of Article 54(2)(b) of Council Regulation (EC, Euratom) No1605/2002 on the Financial Regulation applicable to the general budget of the European Communities. 4. The maximum Community contribution to the ENIAC JU shall be EUR 450 million paid from the budget appropriations allocated to the Theme "Information and Communication Technologies" of the Specific Programme "Cooperation implementing the Seventh Framework Programme. The arrangements for the Community financial contribution shall be established by means of a general agreement and annual financial agreements to be concluded between the Commission, on behalf of the Community, and the ARTEMIS JU. 5. ITD Leaders and Associates shall contribute resources at least equal to the Community contribution excluding those allocated through Calls for Proposals in order to carry out the research activities of Clean Sky. 6. The financial contributions of the Members to the ENIAC Joint Undertaking shall be paid through partial instalments. 7. Any new Member of the ARTEMIS Joint Undertaking other than Member States or Associated Countries shall make a financial contribution to the ARTEMIS Joint Undertaking. 7.
