2 What is an MOU? A Memorandum of Understanding is a document describing an agreement between two or more parties. It is often used to define a relationship between departments or agencies. It is commonly used in cases where parties do not want a legally binding contract. It is a more formal alternative to a gentleman’s agreement.

3 WHY WE DEVELOPED VARIOUS MOU’S….. Formalize “handshake” agreements that already existed Document expectations and responsibilities of each group Document financial agreements Document space use agreements Document policy and procedure variations Document for future staff

5 IMPORTANT ELEMENTS TO A MOU: Term/length of the agreement Scope of the agreement Services to be provided by each party Responsibilities of each party Details regarding use of equipment and/or facilities Restrictions Assignment and Subletting Financial Terms and Conditions Termination clause Governance and disputes – final decision authority Notices, request for changes, etc. Supporting attachments and appendices

6 DINING SERVICES MOU 10 year agreement with options Addresses ALL dining service operations in The Stamp Details the services Dining Services provides Details responsibilities of the Stamp Details responsibilities of Dining Services Food restrictions and non-compete clauses Catering rights and facilities South Campus Dining Hall responsibilities Financial terms and conditions (Rent, CAM, Audits, etc.) Termination and dispute clarification

7 CONFERENCES & VISITOR SERVICES MOU 2 year initial agreement with renewable options Details priority reservation and use of space Details space cancellation policies and procedures Details responsibilities of C&VS program managers Details responsibilities of Stamp event managers Details space use policies and extended building hours Termination clause and dispute authority Includes Stamp Reservations Agreement Includes established room, services and equipment rental rates Includes established building hours for minimum of 2 years

8 NEW STUDENT ORIENTATION & ADMISSIONS MOU’s 2 year terms with renewable options Details priority reservation and use of space Details space cancellation policies and procedures Details responsibilities of department program planners Details responsibilities of Stamp event managers Details space use policies and extended building hours Termination clause and dispute authority Includes Stamp Reservations Agreements Includes established room, services and equipment rental rates Includes established building hours for minimum of 2 years
