3 19 Family & Business DMCC/ Marist Institute/ February 2016 3 Roles and responsibilities of General Administration concerning Mission As from current Constitution, sets forth mid-long term Institute direction Superior General and General Council Provides strategic direction for Marist Life and Mission, while delegates executive responsibility to Mission Council. Members are elected as of today. Provides Governance, Accompaniment and Animation of the Regions and AUs. Mission Executive Is delegated to manage the day-to-day operations of the Mission. In charge of strategic planning to be approved by the Mission and General Council and periodically updated. Composed of Brothers and Lay, men and women, according to their competences Economato Responsible for the allocation and protection of assets, leaving Mission responsible for daily management of the delegated assets. Performs audit of Mission structures for the correct and evangelical use of assets Contributes to mid-long term strategic guidelines for Marist Mission with a detailed identification of objectives and expected preliminary timing. Is composed by both elected and appointed Brothers and Lay with presence of women, globally representative. General Chapter Mission Assembly Vision Governance Management Mission Council Performs Governance for the Marist Mission, as delegated by the General Council. Members are appointed from both Regions and General Administration, both Brothers and Lays. Different bodies will have different roles and responsibilities in General Administration Vision, Governance and Management

4 19 Family & Business DMCC/ Marist Institute/ February 2016 4 A “revised” Mission Assembly Scope: collect contributions to Institute mission setting feeding the General Chapter also with lay and other Brothers value added Representatives, both Brothers and Lay, coming from all Administrative Units and Regions: –General Council, Mission Council, Marist Vocation and Economo. –2 members from each Administrative unit. –4 members from each Region. Scope and composition In charge of setting mid-long term strategic guidelines for Marist Mission with a detailed identification of objectives and expected preliminary timing and performing periodic evaluation. Contributions are collected bottom-up starting from Provincial and Regional Assemblies. Proposed frequency: realized 2 or 3 years before every General Chapter. Key responsibilities and governance / management mechanisms General Council, Marist Vocation and the Economato. Mission Councils at all levels. General Chapter. Liaison and networking will engage different levels of Mission Agents in order to support setting directions …

Decision-making body for consecrated life. Determine ethical limits and which means the Institute can use to reach its outcomes. Focus on decisions about future of the Institute: strategy validation and fine-tuning. Members (Brothers) are elected. Scope and composition Verifies alignment of the strategic plan developed by the Mission Council with the direction set. Ensures effective governance of the Institute as a whole. Has an overview of all the aspects of the Mission and performance through dashboard and progress reports. It always reserves the right to modify delegated decisions. Can set-up Committees to oversee identified key issues and defined topics when specific skills /know-how / dedication is requested. Committee members can be both Brothers and Lay, according to needs & availability. Take decisions to the next level or make decisions when there is a need for a deviation from agreed strategies. Is supported by Economato and Mission Council. Key responsibilities and governance mechanisms will hold the ultimate decision taking and focus on leadership …

Composed of Brothers and Lay men and women: –4 members of the Marist institute appointed by the General Council. –6 members representatives from the Regional Mission councils. Scope and composition Is the Governance body for the Mission management. Approves the strategic plan developed by Mission Management. Periodically reports to the General Council. Is in charge of identifying global policies needs and to supervise the policy making process performed by the Mission Management team Key responsibilities and governance mechanisms General Council, Mission Executive, Marist Vocation and the Economato. Liaison and networking

7 19 Family & Business DMCC/ Marist Institute/ February 2016 7 … while the Mission Executive body Reporting to the Mission Council is delegated the decision-making for Mission Executive according to its delegated responsibilities. Composed of Brothers and Lay, men and women, according to their competences. Scope and composition In charge of strategic planning to be approved by the Mission Council. Presides over the organization's day-to-day operations and specific projects (under mandate of the General Council). Coordinates cooperation across Regions and performs overall Mission Management. Identify, manage and monitor key risks in strict cooperation with the Economato and the Marist Vocation area. Performs follow-up of the regional Mission initiatives. Periodically reports to Mission Council. Each member / group of members has specific functional responsibilities referred to the Mission (e.g. Economics, HR, Tools, …). Key responsibilities and management mechanisms Mission Council, Marist Vocation and the Economato. Regions (also for cross-fertilization). Other external similar Institutions and other legal entities. Liaison and networking will focus on daily management, according to their delegated authority …..

8 19 Family & Business DMCC/ Marist Institute/ February 2016 8 … and the Economato Reporting to the General Council is delegated for the management of the economic and financial assets and risks of the Institute. Economical and financial strategic support to Regions and AUs. Guarantees full transparency across and towards all Regions and Provinces of the Institute. Performs audits on Mission activities, ensuring the correct and evangelical use of assets. Members are appointed by the General Council. Key responsibilities and governance / management mechanisms Responsible for financial planning, as well as financial reporting to the General Council, working together with the Mission Council. In charge of asset protection and long term productivity maximization at all levels. The General Bursar is an advisor to the General Council, who participates at the meetings when needed. Works in collaboration with the Mission Council for all strategic and tactical matters related with budget management, cost benefit analysis, forecasting needs… Liaison and networking General Council, Mission Council, Mission Executive, and Marist Vocation. Other external similar Institutions and other legal entities. Scope and composition will be accountable of overall resource allocation and responsible for Institute’s long term sustainability.
