5 Counting Participation Proposed MBE/WBE/SBEs must perform commercially useful function Responsible for execution of a distinct element of the Contract Perform, manage and supervise scope of work Own workforce, cost of supplies/material obtained, equipment leased Maintain certification Dollar value counted ceases after certification expiration MBE/WBE/SBE must be certified in scope area 5

6 Counting Participation Credit for second tier utilization Proposed MBEs, WBEs or SBEs utilized by 1 st tier majority subcontractor will be counted towards goal(s) Based upon payment not invoice Achievement towards goal(s) counted when payment made OCC tracks payments received by Subcontractors via online software application Prime contractors conduct monthly online audits 6

12 Evaluation of Good Faith Efforts In event Goal is not met, bidder must demonstrate that it made Good Faith Efforts Must submit required forms Data Sheet 3 Good Faith Efforts Checklist All Good Faith Efforts thoroughly documented solicitations and responses OCC will evaluate Good Faith Efforts and determine compliance Submitted bid not meeting goals and no GFE is an unresponsive bid 12

14 Changes to Utilization Plans Substitution shall only be permitted based upon the following reasons: Unavailability after reasonable NTP Failure of Performance Financial incapacity Failure to honor bid or proposed price Mistake of the scope of work Failure to meet insurance, licensing, bonding requirements Subcontractor’s withdrawal of bid or proposal 14
