2 PRIMARY SOURCES OF LEGAL LIABILITY TORT - INTENTIONAL (Assault, trespass, etc..) TORT – UNINTENTIONAL (Negligence) CONTRACT STATUTORY AND REGULATORY CRIMINAL

3 INTENTIONAL TORTS You intend the act and its consequences Assault and battery Trespass Intentional misrepresentation Interference with third party contracts

4 UNINTENTIONAL TORTS Negligence Falling below a reasonable standard of care Damages result to a party to whom a duty of care is owed For example, professional negligence, slip and falls, negligent misrepresentation, car accidents, product liability

5 STATUTORY, REGULATORY, CRIMINAL Imposed by Parliament or Provincial Legislature Reflects public policy Enforced by the State, not other citizens Criminal laws are statutory offences of the most heinous type that attract the highest sanctions Beyond reasonable doubt as opposed to balance of probabilities (evidentiary burden)

6 CONTRACTS Exchange of Promises (Consideration) Offer and acceptance Can be oral (harder to prove) Parties must be “ ad idem” An agreement to agree is not a contract Distinguish from a Letter of Intent Memoranda of Understanding (misused term)

7 DEBT A promise to provide funds an exchange for a promise to repay the funds over a period of time and generally with interest Promissory notes (IOUs) Contractual liability A Mortgage is simply a promissory note which includes real estate as collateral for the loan, as security (secured debt)

8 SECURED DEBT AND UNSECURED DEBT Real estate is only one form of security Can be any tangible or intangible asset Can be a car, inventory, shares, machinery, etc The borrower pledges the asset to the lender The lender holds a lien or charge on the asset In case of default, the lender has priority on the pledged asset over other lenders of the borrower

9 GUARANTEES A borrower with insufficient assets or credit worthiness may require a co-signor or guarantor of the loan A co-signor is equally liable as the other debtor A guarantor is only called upon once the primary lender has defaulted and remedies are exhausted Shareholders may be asked to guarantee a corporate loan, a parent a child’s loan or a spouse a spouse’s loan

10 Advantages of Secured Debt Priority on liened property. Assume John’s debts are as follows: Visa credit card: $10,000 Unsecured line of credit (CIBC) $15,000 Mortgage: $250,000 in favour of Stanley Car loan (PPSA lien Ally Bank): $15,000 Assets: House: $270,000, Car: $15,000,

11 John Goes Bankrupt Trustee and legal fees: $10,000 House is liquidated: Sells at FMV of $270,000, Stanley’s mortgage is paid in full, leaving $20,000 net of mortgage (equity) The car sells at $15,000 so Ally is paid in full. There is $20,000 left minus above fees = $10,000 Unsecured debt totals $25,000 so each unsecured lender get 40 cents per dollar

PPSA Summary court procedures where necessary General Security Agreements Inventory and floating charges

13 Unsecured Liabilities Regardless if originates in tort or contract Must sue (Statement of Claim) Almost never Notice of Application Statement of Defense Affidavit of Documents Interim Motions Examinations for Discovery (Depositions-USA) Trial

14 Judgment You win and get a Judgment for $80,000 File Writ of Execution Garnish wages, bank accounts, etc Judgment debtor examinations Must share with other unsecured creditors who have judgments!
